Supplementary Terms and Conditions

Filed at the Chamber of Commerce for Central Gelderland, Netherlands, nr 10021227, dated 01-08-2024.

1. Unless otherwise agreed in writing, the ISF Rules and Usages for the Trade in Seeds for Sowing Purposes of the International Seed Federation, supplemented by these terms and conditions apply to all quotations, offers and sales made by and agreements concluded with Barenbrug Holland B.V., and supersede any conflicting conditions proposed by the buyer. 
2. Multiplication of seed is not permitted, this also includes seed for trial purposes. 
3. All sales are subject to harvest and final quality. 
4. All invoices are payable within the period mentioned on the invoice. Barenbrug Holland B.V. reserves the right to charge interest at 2% per month or part month on overdue payments. 
5. A failure by Barenbrug Holland B.V. to fulfil its obligations does not entitle the buyer to dissolve the agreement. 
6. In the event of liability on the part of Barenbrug Holland B.V., the compensation for damages shall not exceed the invoice value of the respective delivery plus transportation and return costs and unreimbursed custom duties. This applies only insofar as these costs are justified, directly related to the damage and supported by documentation. The authority of arbitrators to deem this compensation unreasonable remains unaffected. 
7. The construction, validity and performance of the agreement to which these conditions apply shall be governed by Dutch Law.
8.  Barenbrug Holland B.V. is at any time entitled to submit any and all disputes relating to, resulting from, or in connection with an agreement concluded with Barenbrug Holland B.V. and/or these terms and conditions, and all resulting non-contractual obligations, to the competent judge of the court of Gelderland, location Arnhem (The Netherlands).
